These Terms of Use (“Terms”) govern access to and use of the Opscale platform provided by Opscale SAL.

By accessing or using the Services, you agree to these Terms.

1. Eligibility

You must:

  • Be authorized by a registered organization
  • Use the Services for legitimate business purposes
  • Comply with applicable laws

2. Account Responsibility

You are responsible for:

  • Maintaining confidentiality of login credentials
  • All activities conducted under your account
  • Promptly notifying your organization of unauthorized access

3. Acceptable Use

You agree NOT to:

  • Use the platform for unlawful purposes
  • Upload malicious code or harmful content
  • Attempt to gain unauthorized access
  • Interfere with system integrity
  • Misuse attendance or geo-location features
  • Harass or abuse other users

4. Organizational Control

Client organizations:

  • Control user access and permissions
  • Define workflows, approval structures, and tracking rules
  • May access, review, and audit user activity within the system

Users acknowledge that work-related activity on Opscale may be monitored by their organization.

5. Intellectual Property

All intellectual property rights in the Opscale platform, including:

  • Software
  • Design
  • Structure
  • Branding
  • Content

are owned exclusively by Opscale SAL.

No rights are granted except as expressly stated.

6. Service Availability

We aim to provide reliable access but do not guarantee uninterrupted service.

We may:

  • Perform maintenance
  • Update features
  • Modify or discontinue services

without prior notice where necessary.

7. Subscription & Payment

Subscription terms are governed by separate commercial agreements between Opscale SAL and client organizations.

Failure to comply with payment terms may result in suspension or termination.

8. Data Ownership

Client organizations retain ownership of their operational data.

Opscale retains ownership of:

  • The platform technology
  • Aggregated, anonymized system performance data

9. Limitation of Liability

To the maximum extent permitted by law:

Opscale SAL shall not be liable for:

  • Indirect or consequential damages
  • Business interruption
  • Data loss resulting from misuse
  • Loss caused by third-party infrastructure failures

Total liability shall not exceed amounts paid by the client in the preceding 12 months.

10. Indemnification

You agree to indemnify and hold harmless Opscale SAL from claims arising out of:

  • Violation of these Terms
  • Misuse of the Services
  • Breach of applicable laws

11. Termination

We may suspend or terminate access:

  • For violation of these Terms
  • For non-payment
  • If required by law

Client organizations may deactivate user accounts at any time.

12. Governing Law

These Terms are governed by the laws of Lebanon, without regard to conflict-of-law principles.

Any disputes shall be subject to the jurisdiction of Lebanese courts.
